1. About These Terms

These terms apply to your use of the R&D-Pal website and any invite-only workspace, portal, or related materials made available by Denis Breen & Co Limited, trading as ProfitPal, Company Number 499506, with registered office at No. 1 Maritana Gate, Canada Street, Waterford, Ireland.

R&D-Pal is used by ProfitPal as part of its R&D tax credit advisory service. It is not offered as a self-serve public SaaS product.

2. Relationship with Your Engagement

If your organisation has separately engaged ProfitPal by email, proposal, engagement letter, or other written agreement, that separate engagement sets the commercial terms for the advisory service, including scope, fees, deliverables, and responsibilities. These page terms are a general public statement about use of the site and workspace.

3. Access to the Workspace

Access to any R&D-Pal workspace is limited to people authorised by the relevant client organisation and approved by us. You must keep your login details secure and use the workspace only for legitimate business purposes connected with the relevant engagement.

We may suspend, restrict, or remove access where we reasonably consider it necessary for security, maintenance, misuse prevention, or if the underlying client engagement ends.

4. Your Information

You are responsible for ensuring that information, documents, and materials provided through the site or workspace are accurate to the best of your knowledge and that you are entitled to share them with us.

You remain the owner of material you provide. You give us permission to use, store, review, and process that material only to the extent needed to provide the relevant services, operate the workspace, communicate with you, maintain records, and meet legal or regulatory obligations.

5. How R&D-Pal Is Used

R&D-Pal helps organise information and support the preparation of R&D tax credit claim materials. It may include drafting assistance, structured questionnaires, document handling, review tools, and other workflow support used by ProfitPal and its clients.

Any outputs made available through the workspace are working materials only unless and until they are reviewed and adopted as part of the agreed client process.

6. No Standalone Advice Through the Site

Information on the public site is general information only and is not legal, tax, accounting, or financial advice. Any professional advice is provided only as part of a direct client engagement with ProfitPal.

7. Acceptable Use

You must not:

  • use the site or workspace in a way that is unlawful, fraudulent, or misleading;
  • attempt to gain unauthorised access to systems, accounts, or data;
  • upload harmful code, interfere with service operation, or misuse security features;
  • share access with unauthorised users; or
  • copy or reuse the platform, content, or underlying methods except as permitted by law or by written agreement with us.

8. Intellectual Property

Unless otherwise stated, the site, workspace, branding, structure, and supporting materials belong to Denis Breen & Co Limited or its licensors. This does not affect your ownership of materials you supply to us or the rights granted to you under any separate client engagement.

9. Privacy and Data Protection

We handle personal data in line with our Privacy Policy and our GDPR information page. If your organisation provides personal data relating to other individuals, it is responsible for having an appropriate lawful basis to share that data with us.

10. Availability and Changes

We may update, improve, withdraw, or change parts of the site or workspace from time to time. We do not guarantee uninterrupted availability, although we aim to keep services reasonably available.

11. Liability

To the extent permitted by law, we are not responsible for loss arising from unauthorised access caused by your failure to protect credentials, from inaccurate information supplied to us, or from reliance on public website content outside a formal client engagement.

Nothing in these terms limits liability that cannot lawfully be limited or excluded.

12. Governing Law

These terms are governed by the laws of Ireland. The Irish courts will have jurisdiction over disputes relating to these terms, subject to any different position set out in a separate written engagement.
